Terms of Service

These Terms of Service ("Terms") govern your use of the KidsPayroll mobile application and related services ("the App"), owned and operated by Agents Invest LLC, located at 1037 NE 65th St #80945, Seattle, WA 98115 ("Company").

By using KidsPayroll, you agree to these Terms. If you do not agree, do not use the App.

1. Overview

KidsPayroll enables business-owner parents to pay their children for legitimate work performed through the parent's business entity, maintain compliance records, track hours, manage optional tasks, and facilitate financial education.

The App is intended for use within the United States only and by parents or legal guardians acting on behalf of their children.

2. Eligibility

2.1 Parents / Legal Guardians

To use the App, you must:

• Be at least 18 years old
• Be legally authorized to act on behalf of your business
• Provide accurate personal and business information

2.2 Children

Children under age 18 may use KidsPayroll only under the supervision of a parent or legal guardian, who must:

• Create and manage the child's account
• Review and approve work logs
• Oversee financial activity

KidsPayroll complies with COPPA (Children's Online Privacy Protection Act). See the Privacy Policy for details.

3. Account Registration

You agree to provide accurate, complete information during account creation and to maintain the accuracy of your information.

You are responsible for:

• Keeping login credentials secure
• Ensuring your child does not access parent-level settings
• All activity conducted through your account

The Company reserves the right to refuse or terminate accounts for violations of these Terms.

4. Services Provided

KidsPayroll provides:

• Time tracking and manual work logging
• Task assignment (optional)
• ACH payroll processing via third-party providers
• Compliance-ready documentation
• Educational lessons through LedgerBot
• Parent and child dashboards
• Secure data storage and export options

The Company may modify or improve features at any time.

5. ACH Payments & Financial Services

KidsPayroll integrates with third-party providers (e.g., Plaid, Dwolla, Stripe) for bank verification, identity checks, and ACH payments.

By using the App, you agree to the terms of those providers, which may include:

• KYC/KYB identity verification
• OFAC screening
• Transaction monitoring

The Company does not store full bank account numbers.

The Company is not a bank, financial institution, broker-dealer, or tax advisor.

All ACH transactions are executed at your direction.

6. Compliance & Legal Responsibility

Parents/guardians are solely responsible for:

• Ensuring children perform legitimate work
• Accurately reporting hours and compensation
• Adhering to IRS rules and federal/state labor laws
• Using documentation generated by the App appropriately

KidsPayroll provides tools and guidance, but does not guarantee:

• IRS acceptance
• Legality of your payroll structure
• Tax outcomes
• Compliance with specific state laws

You agree to consult a qualified accountant or legal professional for tax or legal advice.

7. Use of the App

You agree not to:

• Misrepresent business or child information
• Use the App for fraudulent or unlawful purposes
• Upload harmful or inappropriate content
• Attempt to reverse-engineer or disrupt the App

Violation may result in account suspension or termination.

8. Subscription & Payment Terms

KidsPayroll operates on a subscription basis.

8.1 Billing

• Users will be charged through the App Store or Google Play
• Auto-renewal occurs unless canceled
• Pricing may change with notice

8.2 Free Trial

If a free trial is offered:

• Only one trial is allowed per household
• Charges begin automatically when the trial ends unless canceled

8.3 Refunds

All payments are processed through Apple or Google. Refunds follow their policies.

9. Intellectual Property

All content, branding, graphics, software, LedgerBot character, and App functionality are the property of Agents Invest LLC.

Users may not:

• Copy
• Modify
• Distribute
• Reverse-engineer
• Create derivative works

10. User Content

Users may upload:

• Photos and videos of work performed
• Task descriptions
• Work logs

You grant the Company a non-exclusive license to store, process, and display this content solely for the purpose of operating the App.

You represent that your uploaded content does not:

• Violate privacy rights
• Contain prohibited material
• Infringe intellectual property of others

11. Data Privacy

Data collection, processing, and storage are governed by our Privacy Policy, incorporated by reference.

By using the App, you consent to data collection practices described there.

12. Termination

We may suspend or terminate accounts if:

• These Terms are violated
• Fraud or misuse is detected
• Required information is incomplete or inaccurate
• Payment methods fail repeatedly

Users may delete accounts at any time.

13. Disclaimers

KidsPayroll is provided "as is" without warranties of any kind.

We do not guarantee:

• Error-free or uninterrupted service
• Compliance outcomes
• Tax savings or financial performance

You use the App at your own discretion and risk.

14. Limitation of Liability

To the maximum extent permitted by law:

• Agents Invest LLC is not liable for indirect, incidental, or consequential damages
• Liability is limited to the amount paid in the 12 months preceding the claim

This includes issues arising from:

• ACH transactions
• Incorrect data input
• Compliance errors
• Service outages

15. Indemnification

You agree to indemnify and hold harmless Agents Invest LLC from claims, damages, losses, or liabilities arising out of:

• Your misuse of the App
• Incorrect or fraudulent information
• Violations of these Terms

16. Governing Law

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law rules.

Any disputes shall be resolved in courts located in Seattle, Washington.

17. Changes to These Terms

The Company may update these Terms at any time.

You will be notified via:

• Email
• In-app message

Continued use of the App constitutes acceptance of updated Terms.

End User License Agreement (EULA)

Effective Date: December 3, 2025

This End User License Agreement ("Agreement") is a legal contract between you ("User") and Agents Invest LLC ("Company") governing your use of the KidsPayroll mobile application ("App") and any related services.

By downloading, installing, or using KidsPayroll, you agree to be bound by the terms of this EULA. If you do not agree, do not install or use the App.

1. License Grant

The Company grants you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the App on a mobile device you own or control
• Use the App for personal, non-commercial purposes consistent with its intended function

You may not:

• Sell, rent, lease, or sublicense the App
• Modify, adapt, translate, or create derivative works
• Reverse engineer, decompile, or disassemble the App
• Remove or alter proprietary notices

2. Ownership

The App, including software, content, trademarks, artwork, LedgerBot, and documentation, remains the sole property of Agents Invest LLC.

This Agreement does not give you any ownership or intellectual property rights.

3. Permitted Use

The App is designed for:

• Parents managing family payroll for their children
• Children engaging with the App under parent supervision
• Logging work, tracking hours, running ACH payroll, and learning financial concepts

Any use outside this scope is prohibited.

4. Restrictions

You agree not to:

• Use the App for unlawful or fraudulent activity
• Input false information regarding work, identity, or payments
• Circumvent security features
• Introduce malware or harmful code

Violation may result in account termination.

5. Updates & Upgrades

The Company may provide:

• Bug fixes
• Feature enhancements
• Security patches
• App upgrades

Updates may be automatic or require manual installation. Continued use constitutes acceptance.

6. Third-Party Services

The App integrates with trusted third parties for:

• Bank verification (Plaid)
• ACH payments (Dwolla/Stripe)
• Identity verification

Your use of those services is subject to their separate terms and privacy policies.

The Company is not responsible for third-party actions or failures.

7. Termination

This Agreement remains in effect until terminated.

You may terminate by deleting the App.

The Company may terminate:

• For Terms of Service violations
• For fraudulent or unlawful activity
• For misuse or interference with the App

Upon termination, your license to use the App ends immediately.

8. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind.

The Company does not warrant that the App will be:

• Error-free
• Uninterrupted
• Free from unauthorized access

You assume all risks associated with use.

9. Limitation of Liability

To the fullest extent permitted by law:

• The Company is not liable for indirect, incidental, or consequential damages
• Liability is limited to the amount paid by you in the prior 12 months

This includes damages arising from:

• ACH transactions
• Compliance errors
• Data loss
• Account misuse

10. Indemnification

You agree to indemnify and hold harmless the Company from claims, damages, losses, or liabilities arising from:

• Your use of the App
• Violations of this Agreement
• Misuse of financial or compliance features

11. Governing Law

This Agreement is governed by the laws of the State of Washington, without regard to conflict-of-law principles.

Any legal disputes will be resolved in a court of competent jurisdiction located in Seattle, Washington.

12. Changes to the EULA

The Company may revise this EULA at any time. Updated versions will be posted in the App or delivered via email. Continued use constitutes acceptance.

Refund Policy

Effective Date: December 3, 2025

This Refund Policy applies to all purchases made through the KidsPayroll mobile application. By subscribing to KidsPayroll, you acknowledge and agree to the following terms:

1. All Sales Are Final

KidsPayroll operates on a no-refund policy. All subscription fees, charges, and payments made through the App are non-refundable, including but not limited to:

• Monthly or annual subscription fees
• Renewal charges
• Partial subscription periods
• Unused services or features

2. App Store & Google Play Billing

All billing is handled directly through:

• Apple App Store (for iOS users), or
• Google Play Store (for Android users)

These platforms process payments independently. KidsPayroll does not have the ability to:

• Reverse charges
• Issue refunds
• Modify or cancel transactions on your behalf

Users must manage billing preferences through their respective app store accounts.

3. Free Trial Period

If KidsPayroll offers a free trial:

• The trial allows full access for the specified period
• If you do not cancel before the trial ends, billing begins automatically
• Charges incurred after the trial ends are non-refundable

4. Cancellation Policy

You may cancel your subscription at any time through:

• Apple App Store → Subscriptions
• Google Play Store → Payments & Subscriptions

Cancellation prevents future charges but does not qualify you for a refund of previous payments.

5. Service Interruptions

Subscription fees are non-refundable even in the case of:

• Temporary outages
• Scheduled maintenance
• Feature updates or changes
• Slow performance or temporary limitations

6. Billing Errors

If you believe a billing error has occurred:

• Contact Apple or Google Play support directly
• KidsPayroll can assist by providing documentation, but cannot issue refunds

7. Chargebacks & Disputes

Unauthorized or fraudulent chargebacks may result in:

• Account suspension
• Termination of access
• Loss of stored data or records

We encourage users to contact the App Store/Google Play and KidsPayroll support prior to initiating disputes.

End of Terms of Service, EULA, and Refund Policy
